This Agreement may be terminated by either party without notice at any time for any reason. The provisions of Copyright, Licenses and Idea Submissions, Use of the Service, Indemnification, Third Party Rights and Miscellaneous shall survive any termination of this Agreement.

Miscellaneous

This Agreement shall all be governed and construed in accordance with the laws of The United States of America applicable to agreements made and to be performed in The United States of America. You agree that any legal action or proceeding between PJ Strategies Inc. and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in The United States of America . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) month after the claim or cause of action arises or such claim or cause of action is barred. PJ Strategies Inc.'s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. PJ Strategies Inc. may assign its rights and duties under this Agreement to any party at any time without notice to you. Also know that if you are or have been a client of PJ Strategies Inc, you automatically consent to allowing PJ Strategies Inc to use your name, business name and website url for it's own marketing purposes and efforts. If you wish to not be included, we must be notified by email at pjstrategies[at]msn.com, and we will remove such said use from our website or other promotional uses within a reasonable time frame as we see or deem fair and adequate.

Billing, Invoices, Payments and Collections

Invoices are sent via email to your known email address after the first of the month, or after initial services are completed. All invoices are due on 20th of the month unless otherwise noted. If you do not receive an invoice it is your responsibility to request another copy, or to request we resend it. If payment is not RECEIVED by the 20th of the month or by the stated due date, a $20 service late fee will be added. If invoice is still not paid 30 days after payment is due, you will be subject to an additional $50 late fee. If your account is unpaid 60 days after payment was due, your account will be subject to an additional $100 collection processing fee, or 20% of entire balance past due (whichever is greater). This is to ensure payment for our services due for our hard work, and to cover and collection fees that could be due and time and work involved in collecting the debt. Collection activity is enforced on delinquent accounts, and every effort will be made to collect any debt due. Your information will be reported to collections and is not held to be private in any case where payment is past due according to this policy.

If you are having trouble paying your account, please contact us to make arrangements to prevent collection activity and additional late fees. Waiving or decreasing late fees and/or changing due dates will be at our own discretion as we deem fit.
